This Featured Contributor Content Usage Agreement ("Agreement") is made and entered into effective as of the date of your acceptance (the "Effective Date"), by and between Roll Technologies, LLC, a Texas Limited Liability Company, with its principal place of business at 1220 Blalock Road, STE 300, Houston, TX 77055 ("Company") and the above named content contributor ("Contributor"). WHEREAS, the Contributor owns and controls certain content, including but not limited to videos, images, text, and related instructional materials (collectively, "Content"); WHEREAS, the Company operates a subscription based, martial arts focused application providing training resources for martial arts practitioners; WHEREAS, the Company desires to use the Contributor's Content in its application, and the Contributor wishes to provide the Content to the Company under the terms set forth herein. NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, the parties agree as follows: GRANT OF RIGHTS: Contributor hereby grants to the Company a non-exclusive, worldwide, royalty-free, irrevocable right and license to use, display, reproduce, distribute, publish, modify, adapt, translate, and create derivative works from the Content on the Company's application and related marketing materials. This license extends only to the media added by the Contributor in the “Content to Feature” section. REPRESENTATIONS AND WARRANTIES: Contributor represents and warrants that they own or have the necessary licenses, rights, consents, and permissions to grant the rights set forth in this Agreement; and that the use of the Content by the Company will not infringe or violate the rights of any third party. NO FEES OR COMPENSATION: Both Company and Contributor understand and agree that they will not receive any compensation from the other party for the use of the Content pursuant to this Agreement. RELEASE AND INDEMNITY: Contributor hereby releases and discharges the Company, its agents, representatives, employees, and any third parties acting under its authority, from any claims, liabilities, demands, actions, causes of action, costs, and expenses, at law or in equity, whether at law or in equity, whether now known or unknown, arising out of or in connection with the use, exploitation, or distribution of the Content. By checking "I agree," Contributor acknowledges that they have read, understood, and agreed to be bound by this Agreement. THIS IS A LEGAL AGREEMENT BETWEEN YOU AND ROLL TECHNOLOGIES, LLC. BY CHECKING "I AGREE," YOU ARE CONFIRMING THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT, AND THAT YOU AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
